Terms and Conditions Effective Date: May 1st, 2025 Company: Evenu LLC Jurisdiction: United States (based in Louisiana) These Terms and Conditions ("Terms") govern your use of the Evenu mobile application (the "App"), owned and operated by Evenu LLC (“Evenu,” “we,” “us,” or “our”). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App. 1. Eligibility You must be at least 13 years old to use the App. If you are using the App on behalf of a business or organization, you confirm that you are authorized to bind that entity to these Terms. 2. Overview of Services Evenu provides a digital platform where: Business owners and venue owners can collaborate to host pop-up style events Business owners may host events independently at venues listed on the platform Customers can browse and purchase event tickets (if applicable) Evenu does not organize, own, or control any of the events, venues, or businesses listed through the App. We provide the technology that allows parties to connect and transact. 3. Subscriptions and Payments a. Subscriptions Certain features may require a paid subscription. Subscription terms and pricing are disclosed prior to purchase. Subscriptions auto-renew unless canceled at least 24 hours before renewal. b. Third-Party Payments Some transactions (e.g., event ticketing, vendor fees) are processed through third-party payment providers. Evenu does not collect, process, or store any payment information. Users are responsible for reviewing and accepting the terms of the payment processor used. 4. Business and Legal Compliance Evenu does not verify or monitor the legal status, registration, or compliance of any business or event host using the App. All users agree that: Compliance with applicable laws, regulations, and licensing is the sole responsibility of the business or venue owner. Evenu is not responsible for any disputes or enforcement actions involving business legality, tax issues, licensing, or zoning violations. 5. Waiver of Liability By using the App or participating in any event listed or managed through Evenu, you acknowledge and agree that Evenu LLC is not responsible for: Injuries, accidents, illness, or death occurring before, during, or after any event Loss, theft, or damage of equipment, merchandise, personal belongings, or venue property Destruction or defacement of venue property, including damage caused by attendees, vendors, or organizers Acts of negligence, misconduct, or criminal activity by other users, vendors, attendees, or venues Legal disputes between users, including issues involving intellectual property, fraud, taxes, permits, or insurance Force majeure events, including natural disasters, weather conditions, or public health emergencies You voluntarily waive any and all claims against Evenu LLC and its employees, officers, contractors, or affiliates for any harm, damage, or legal loss suffered in connection with an event or platform use. 6. Cancellations and Refunds If an event is canceled, Evenu’s only responsibility is as defined in our separate Refund Policy. We are not responsible for reimbursing travel expenses, third-party costs, lost ticket revenue, or vendor payments. Refund decisions are handled solely in accordance with the published refund terms and at Evenu’s discretion. 7. User Conduct Users agree not to: Misrepresent themselves, their business, or services Use the App to conduct or promote illegal activity Harass, defraud, or harm others Upload viruses or interfere with App functionality Violate any other part of these Terms Evenu reserves the right to suspend or terminate user access for any breach. 8. Intellectual Property All content, branding, source code, design elements, and features on the App are the exclusive property of Evenu LLC. Users may not reproduce, modify, distribute, or use platform content without written permission. 9. Termination We reserve the right to suspend or permanently terminate access to the App for any violation of these Terms or applicable law, without prior notice or liability. 10. Disclaimer of Warranties The App is provided "as is" and "as available" without warranties of any kind. Evenu disclaims all express or implied warranties, including: Fitness for a particular purpose Reliability, availability, or suitability of the platform User conduct, event quality, or business legitimacy 11. Limitation of Liability To the maximum extent permitted by law, Evenu LLC will not be liable for: Indirect, incidental, or consequential damages Loss of business, revenue, data, or opportunity Claims related to physical harm, theft, or death Damages arising from venue use, events, or third-party services 12. Indemnification You agree to defend, indemnify, and hold harmless Evenu LLC from any and all claims, liabilities, losses, damages, costs, and expenses (including legal fees) arising from: Your use of the App or attendance at an event Your violation of these Terms or any law Any property damage, injury, theft, or legal dispute involving your business, venue, or event 13. Governing Law These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Shreveport, LA USA for the resolution of any legal dispute. 14. Updates to Terms Evenu may modify or update these Terms at any time. Continued use of the App after such changes constitutes your acceptance of the revised Terms. 15. Non-Discrimination Policy Evenu LLC is committed to providing an inclusive, respectful, and discrimination-free platform. Users agree that they will not: Discriminate against or harass any person or entity on the basis of race, color, ethnicity, national origin, religion, gender, gender identity or expression, sexual orientation, age, disability, marital status, veteran status, genetic information, or any other status protected by applicable federal, state, or local laws. Use the App to promote, engage in, or support discriminatory practices or hateful conduct. Deny services, participation, or access to events or venues on unlawful discriminatory grounds. Violations of this policy may result in immediate suspension or termination of user accounts and access to the App. Evenu LLC reserves the right to report unlawful behavior to appropriate authorities. 16. Acknowledgment and Responsibility By accessing or using the App, you confirm that: You have been presented with these Terms in a clear and accessible manner You understand that choosing not to read these Terms does not excuse your obligations or diminish their enforceability You voluntarily waive any legal claim that may arise from the contents of these Terms or your failure to read them Your continued use of the App constitutes a binding acceptance of all terms, including all waivers and disclaimers 17. Dispute Resolution and Arbitration Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the App, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through binding arbitration administered by a recognized arbitration organization (e.g., American Arbitration Association) under its applicable rules. You agree that: Arbitration will be the exclusive remedy for resolving disputes, and you waive any right to participate in class-action lawsuits or class-wide arbitration. The arbitration will be conducted on an individual basis, not as a class, consolidated, or representative action. Judgment on the arbitration award may be entered in any court having jurisdiction. 18. User-Generated Content Users may submit content such as business profiles, event descriptions, images, and reviews (“User Content”) through the App. By submitting User Content, you grant Evenu LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform such content in connection with the App and Evenu’s business operations. You represent and warrant that: You own or have all necessary rights to submit the User Content. Your content does not violate any laws or third-party rights. You consent to Evenu’s use of the content as described. Evenu reserves the right to moderate, edit, or remove any User Content that violates these Terms or is otherwise objectionable . 19. Accessibility Commitment Evenu LLC strives to make its App accessible to users with disabilities and is committed to ongoing improvements in accessibility. If you encounter accessibility barriers, please contact us at ceo@evenu.org , and we will make reasonable efforts to assist. 20. License to Use the App Subject to your compliance with these Terms, Evenu grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal or business purposes. You agree not to: Copy, modify, distribute, or create derivative works based on the App, except as expressly authorized. Reverse engineer, decompile, or attempt to extract source code. Use the App for unlawful purposes or in ways that could damage or impair the service. 21. Third-Party Links and Services The App may contain links to third-party websites, services, or payment processors. Evenu does not control these third parties and is not responsible for their content, policies, or practices. Your use of third-party services is subject to their own terms and privacy policies. You agree that Evenu LLC shall not be liable for any damages or losses resulting from your interactions with third-party providers. 22. Children’s Privacy and Use The App is not intended for children under 13 years old. We do not knowingly collect personal information from children under 13. If we learn that we have collected such information, we will take steps to delete it promptly. Users under 13 are prohibited from registering for or using the App. 23. Force Majeure Evenu LLC shall not be held liable or responsible for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, government restrictions, pandemics, internet or telecommunications failures, or any other force majeure event. 24. Data Security We are committed to protecting your information and use reasonable administrative, technical, and physical measures to safeguard user data. Please refer to our Privacy Policy for details about how we collect, use, and protect your data. 25. Feedback and Suggestions Any feedback, comments, or suggestions you provide to Evenu LLC related to the App or services are entirely voluntary and shall be deemed non-confidential and non-proprietary. By submitting feedback, you grant Evenu an unrestricted, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, translate, create derivative works from, distribute, and otherwise commercialize such feedback. 26. Marketing and Communication Consent By creating an account or using the App, you consent to receive communications from Evenu LLC, including newsletters, marketing materials, and updates. You may opt-out of receiving marketing emails or communications at any time by following the unsubscribe instructions included in those communications or by contacting us directly. 27. Severability If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. 28. Entire Agreement These Terms, together with the Privacy Policy and any other legal notices published by Evenu LLC, constitute the entire agreement between you and Evenu LLC regarding your use of the App and supersede all prior agreements or understandings, whether written or oral. 29. International Users Disclaimer The Evenu App is primarily intended for users located in the United States. If you access the App from outside the US, you do so on your own initiative and are responsible for compliance with local laws. Evenu LLC makes no representation that the App complies with laws outside the US, and is not liable for any issues arising from international use. 30. Notification Procedures Evenu LLC may provide notices, including changes to these Terms, via email, push notifications, or postings within the App. It is your responsibility to review such communications and stay informed about any updates. 31. Consent to Electronic Communications By using the App, you consent to receive electronic communications from Evenu LLC. These may include notices about your account, legal notices, and marketing messages. You agree that such electronic communications satisfy any legal requirement that such communications be in writing. 32. Password and Account Security You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Evenu LLC immediately if you suspect any unauthorized use of your account. Evenu LLC is not liable for any loss or damage arising from your failure to protect your account information. 33. Prohibited Uses You agree not to use the App for any unlawful or prohibited purposes, including but not limited to: Spamming, phishing, or sending unsolicited communications Attempting to gain unauthorized access to other accounts or systems Scraping, harvesting, or collecting data from the App without permission Distributing malware, viruses, or harmful code Engaging in any fraudulent or deceptive practices Violations may result in immediate termination of your access and possible legal action. 34. Cookies and Tracking Policy Evenu LLC and its third-party service providers may use cookies, web beacons, and similar tracking technologies to collect information about your usage of the App. This helps us: Improve and personalize your experience Analyze traffic and usage patterns Deliver targeted advertising where applicable By using the App, you consent to this use of cookies and tracking technologies as described in our Privacy Policy. You may control or disable cookies through your device or browser settings, but doing so may affect App functionality. 35. Intellectual Property License Restrictions The Evenu name, logo, and all related trademarks, service marks, and trade dress are the exclusive property of Evenu LLC. You may not use, reproduce, display, or distribute any of these marks without prior written permission from Evenu LLC. Any unauthorized use of the Evenu brand, including its logo or name, is strictly prohibited and may result in legal action. 36. Communication and Sensitive Information Evenu LLC will never contact you outside of the App to request personal or sensitive information such as your credit card details, Social Security Number, EIN, or any other confidential data. All purchases and subscriptions occur securely within the App or through authorized third-party payment processors. Please be cautious of any unsolicited requests for such information claiming to be from Evenu LLC and report any suspicious communications to us immediately. 37.
